Job Summary

The Senior Paralegal works closely with in-house attorneys, internal clients, and outside counsel, as necessary, on a wide variety of matters pertaining to commercial business transactions, supply chain transactions, and incidental business and asset acquisitions and dispositions. Provides both paralegal and administrative support services.

WHAT YOU WILL BE RESPONSIBLE FOR

  • Provides support in connection with establishing and maintaining various company contract forms files, including: supply chain master agreements; commercial business agreements; commercial operating agreements; and real estate and right of way agreements.
  • Provides support in connection with the drafting, reviewing and structuring of (i) standard and non-standard procurement contracts for goods and services transactions, and (ii) IT and software procurement and licensing agreements.
  • Provides support in connection with the drafting and structuring of real estate related contracts and transactions, including: deeds, rights-of-way (easements), pipeline crossing agreements, pipeline relocation agreements, reimbursement agreements, property damage releases, office leases, and facilities operation and / or management agreements.
  • Coordinates with the company's contract administration manager for contract status and retention.
  • Drafts, proofs, reviews and formats basic acquisition and disposition documents, including asset and equity purchase and sale agreements.
  • Coordinates the compilation of schedules and exhibits with attorneys and internal subject matter experts; preparation of schedules and exhibits for transaction documents.
  • Completes transaction due diligence; data room management (set up for divestitures; document and other due diligence review for acquisitions).
  • Prepares documents for execution and coordinates transaction documentation completion, including the conduct of document signing, delivery and internal permanent records retention.
  • Updates legal department transaction directory with deal documents.
  • Learns and maintains the extensive company M&A transaction database and asset list, including acquisition and disposition histories, and communicates its details when needed by lawyers and company personnel in subsequent transactions, governmental reporting/investigation, litigation and other purposes.
  • Reviews third party confidentiality / non-disclosure agreements and conforms the same to company forms; maintains the legal department CA / NDA tracking spreadsheet.
  • Prepares powers of attorney (ROW, supply chain, fleet, etc.) and declarations / affidavits for lawsuits and regulatory proceedings.
  • Calendar, email monitoring, management of attorney correspondence, and additional day-to-day administrative tasks.
  • Performs other related duties to meet the ongoing needs of the organization.

QUALIFICATIONS
  • Bachelor's degree and paralegal certificate and/or applicable experience.
  • A minimum of5years related experience is requiredalthough successful candidates typically have 7-12 years; national or large regional law firm, large corporate and/or oil and gas industry experience preferred
  • Proficient in Microsoft Office Suite (Word, Outlook, PowerPoint and Excel), Adobe Acrobat and version control software; familiarity with document management software and/or contract management software.
  • Has strong attention to detail, accuracy and flexibility in handling multiple tasks - often under time constraints.
  • Able to effectively organize and prioritize work in a timely manner.
  • Uses demonstrated problem solving, decision making and analytical skills.
  • Able to appropriately handle highly confidential information.
  • Strong communication skills, interpersonal skills and ability to build relationships
  • Ability to work independently as well as part of a team

SPECIAL DEMANDS
  • This job primarily operates in a professional office environment and routinely requires the use of standard office equipment such as computers, phones, copy machines, etc. Noise level is typically low. Frequently in a stationary, sitting position for prolonged periods of time. Regularly moves about inside the office to complete tasks, attend meetings or to access the copy machine or file cabinets. Periodically pulls/pushes doors open to move around the office. Occasionally may lift and carry objects up to 20 pounds.
