@Orchard is proud to provide dedicated recruiting support to a fast-growing bio-pharmaceutical firm, with a sole focus on Oncology research and development. Our client has a need for an exceptional Senior Counsel to work directly with the firm's General Counsel on a wide array of legal matters. As the Senior Counsel, you will be responsible for supporting the U.S. and European business in legal matters, including drafting, reviewing, and negotiating agreements for the clinical and commercial business units and other types of corporate transactions as well as privacy compliance and handling of European expansion.

As the Senior Counsel, your responsibilities will likely include:

  • Drafting, reviewing, and negotiating clinical (CTAs) and commercial contracts, including, licensing, co-development, mergers and acquisitions, manufacturing, supply, distribution, and other types of agreements, and driving to execution.
  • Providing counsel on a variety of legal issues to a broad spectrum of business units and functional areas, including business development, supply and sourcing, research & development, IT, HR, and sales and marketing both in the US and Europe.
  • Providing counsel on Data Privacy and Data Protection matters.
  • Providing counsel on pharmaceutical sales and marketing practices as well as the statutes, regulations, and guidance documents applicable to these activities (e.g., the Food, Drug, and Cosmetic Act, regulations, and guidance documents, federal and state anti-kickback statutes, regulations, and OIG guidance documents and opinions, PhRMA Code, and related policies and guidelines).
  • Providing counsel in Delaware and/or New York corporation law, particularly in connection with corporate governance.
  • Representing the firm's interests as it grows its European operations and demonstrating the ability to work with European counsel and external partners/stakeholders.
  • Managing multiple tasks through with exceptional organizational skills, coupled with the ability to proactively engage the resources and stakeholders necessary for success.
  • Representing the firm in meetings domestically and possibly internationally up to Board-level, the Senior Counsel must demonstrate exceptional professionalism and poise, coupled with a comfort level when presenting complex legal information to leadership in a manner that is comprehensible.
Your background will include:
  • A Juris Doctorate (JD) from an accredited US Law School
  • Licensed to practice law in the State of New Jersey, with NJ Bar admission.
  • At least 5 years of legal experience including time spent working within a law firm as a practicing lawyer in the corporate law arena.
  • Prior experience supporting a global company is required (in-house or within a law firm corporate department), while specific exposure to work within the EU legal framework would be preferred.
  • Prior experience with the unique legal challenges associated with the pharmaceutical, biotech, or medical device industries is strongly preferred.
  • Ready and able to work in the Princeton headquarters office at least 3 days per week and travel as needed is required.
  • Willingness to participate in calls/meetings outside of traditional business hours, as needed, to accommodate international partners.
