The AVP - Counsel is responsible for providing legal guidance and support regarding the Company's acquisition, disposition, and financing of vacant land, single family homes, and residential subdivisions, including: (i) the drafting and negotiation of purchase and sale, land banking, joint venture, and loan agreements; (ii) oversight over legal diligence and title review for land and residential acquisition transactions; (iii) administration of land banking, joint venture, and other third-party relationships relating to the acquisition, development, and operation of residential real estate.

Responsibilities:

Real Estate Transactions:

• Drafts and negotiates purchase and sale, escrow, and related documents in connection with the Company's acquisition and disposition of land, single family homes, and residential subdivisions
• Drafts and negotiates land banking, joint venture, and loan agreements relating to the financing of the Company's real estate assets and development activities
• Oversees acquisition and disposition escrows with the assistance of local counsel in various states throughout the country
• Reviews and provides guidance with respect to real estate due diligence matters, including title reports, CC&Rs, ALTA surveys, plats, easements, and development agreements
• Assists with the administration of the Company's land banking, joint venture, and other financing relationships to ensure the Company's compliance therewith, by providing guidance to business functions regarding the Company's rights and responsibilities under its applicable agreements with third parties

Claims/Litigation:

• Oversees outside counsel handling the assertion, defense, and settlement of claims and litigations relating to the Company's real estate transaction and development activities, including vendor disputes, mechanics' lien disputes, personal injury claims, and property damage claims
• Tenders claims to insurance carriers, and tracks and administers insurance claims, as appropriate

Requirements:

• Juris Doctorate Degree from an accredited law school
• Active membership in good standing with the State Bar of California and/or Nevada.
• Minimum of three (3) years legal experience, which include substantial experience in the following areas:
  • Purchase and sale of real estate assets, including vacant land for development
  • Title and survey review
  • Real estate closings
  • Real estate finance, including joint venture, land banking, and loan agreements
• Ability to multi-task and meet demanding deadlines
• Specific experience with residential development; development entitlement and permitting; construction finance; and similar transactions, is preferred
• Entrepreneurial spirit and willingness to assist others
• Very good planning, organizing and project management skills with the ability to take ownership of and focus on critical initiatives
• Exemplary verbal and written communication skills
• Self-motivated, with ability to multi-task
• Ability to work in a fast-paced high-volume environment
• Positive attitude and ability to foster strong inter-departmental working relationships
• Versatility, flexibility, and a willingness to work within constantly changing priorities
