Job Summary

Arhaus is conducting a search for an attorney with corporate securities/corporate governance experience (8+ years). The attorney will provide legal support for our Finance, Investor Relations, and Controller/Treasurer’s departments as well as other members of our executive team. Typically, this position requires analysis and advice on complex corporate and securities law questions facing the company, advice on environmental, social, and governance (ESG) disclosures and publications, advice on financial reporting and public company compliance, advice and oversight on securities transactions, and advice and negotiation involving merger & acquisition transactions. This job will be located in Boston Heights, Ohio.

Responsibilities Include:

  • Prepare and provide legal review and analysis of SEC filings, including 10-K, 10-Q, and 8-K reports, Section 16 reports, as well as Proxy Statement filings, including shareholder proposals
  • Advise and support the company’s compliance with applicable securities laws including Regulation FD, Regulation G, and other regulations applicable to the company as well as applicable stock exchange (Nasdaq) requirements
  • Advise and assist the company on corporate governance issues including internal Board and corporate matters, executive compensation, and public company communications including external interactions with proxy advisory firms and investors, press releases and investor presentations
  • Assist with planning and executing the Annual Meeting of Shareholders
  • Advise and assist the company on capital market and financing transactions including SEC-registered debt offerings, commercial paper programs, and bank lines of credit
  • Advise and assist the company in structuring and negotiating merger and acquisition transactions
  • Advise and assist the company on new SEC rulemakings, and helping the company develop programs to ensure compliance with new regulations
  • Stay current on governance trends and best practices, SEC and Nasdaq developments
  • Coordinate with and oversee outside counsel, where counsel is retained
Job Requirements:
  • J.D. from an accredited law school
  • Licensed to practice law in at least one state (must be eligible for Ohio bar membership)
  • Strong research and writing skills
  • Strong interpersonal and communication skills including skills in making presentations to Board and senior management
  • Strong analytical skills, ability to exercise sound business judgment and to advise on business-related legal issues, and understand business consequences of legal advice.
  • Highly organized and able to work independently and as a member of an integrated team
Preferred Knowledge/Skills/Abilities:

  • Preferred minimum of eight (8) years of legal experience in a law firm, corporation, or agency dealing with securities regulations applicable to public companies
  • Working knowledge of corporate law, financial and governance matters
  • Working knowledge of ESG issues and shareholder relations issues
  • Working knowledge with the full range of securities regulations applicable to public companies
  • Working knowledge with corporate governance best practices for major public companies
  • Working knowledge of drafting complex disclosure documents as well as complex agreements such as merger and acquisition agreements
  • Demonstrated record of leadership and initiative
  • Industry (retail or consumer discretionary/durable) experience preferred
