We're searching for a Corporate Paralegal to join our growing team of legal professionals to provide best-in-class counsel to support our M&A, Corporate Securities, and Corporate Governance teams. In this role, you'll work cross-functionally and play a central role in guiding DraftKings on various domestic and global legal matters. This is a highly collaborative role in which you'll work closely with our Vice President & Associate General Counsel and our Corporate Counsel, which requires outstanding core skills, balanced business and legal judgment, and a commitment to the growth and success of DraftKings. What you'll do as a Corporate Paralegal:

  • Support our secretarial function, including preparing materials for the board of directors and related committees and maintaining corporate resolutions, minute books, and corporate records.
  • Assist with managing national and international corporate entities, including preparing subsidiary board materials and managing state and local filings for various entities.
  • Assist with administration of our Insider Trading Policy, 10b5-1 plans, related employee and director equity matters, and the administration of director and officer equity incentive plans.
  • Assist in preparing public disclosure documents, including SEC periodic reports such as 10-Ks, 10-Qs, 8-Ks, Proxy Statements, Section 16 filings, and other related documents.
  • Support mergers and acquisitions activity and related commercial arrangements, including assisting in the drafting and negotiation of various agreements, such as non-disclosure agreements.
What you'll bring:
  • At least 4 years of relevant corporate paralegal experience, including at least 2 years at a public company or a law firm supporting public company clients; in-house experience is a plus.
  • Track record of a practical business and solution-oriented approach to resolving issues.
  • Strong organization skills and ability to work both independently and as a member of a team.
  • Proven ability to develop collaborative relationships with internal partners, excellent interpersonal, communication, analytical and influencing skills, with a strong emphasis on articulating complex issues in a clear and actionable way.
  • Excellent written and verbal communication skills, attention to detail, good business judgment, and the ability to handle multiple projects simultaneously.
  • Experience with Shareworks is considered a plus.
